Preparation of Annual and Quarterly Reports

Overview: SEC Rules and Regulations for reporting provide for integrated disclosure. Essentially, integrated disclosure provides a single, comprehensive reporting and disclosure system that may be used under both the 1933 and 1934 Securities Acts, including annual and quarterly reports to security holders. Under this system, Regulation S-K provides the requirements for non-financial sections of filings and Regulation S-X provides requirements for financial statements and related areas. Integrated disclosure simplifies the overall process of developing Financial Statement Closing Processes by establishing firm requirements for reporting and simplifies the preparation of multiple different forms or filings by providing one comprehensive set of rules. Notwithstanding, pitfalls reside in the many, fragmented interpretations of these integrated disclosure rules that the SEC has issued. Commonly referred to as “Speech GAAP”, the SEC has publicly stated that they expect Issuers to comply with these interpretations. It has become extremely important for Issuers to stay on top of these interpretations. We invest considerable time and effort keeping current on SEC Reporting Rules and Regulations.

Services: We provide many levels of SEC Reporting Services. We have clients that engage us to lead the periodic 1934 Act filing requirements (10Qs and 10Ks) by preparing the documents in their entirety for management’s review and submission to auditors. These clients have come to expect thorough, well written documents. In order to provide this scope, we interview responsible employees in multiple departments to assure that we have sufficient information to prepare transparent reports. Conversely, we may be asked from time to time to assist on a particularly difficult footnote or Management’s Discussion and Analysis.
